Customer Consent

This Customer Consent ("Consent") is effective as of the date of Customer’s signature on an Order Form that includes a line item for Trustwell Integration ("Effective Date"). This Consent documents Customer’s authorization to iTradeNetwork, Inc. ("iTradeNetwork") to share certain Customer Content with ESHA Research dba Trustwell, LLC ("Trustwell") as described below.

WHEREAS, Customer subscribes to one or more iTradeNetwork Solutions (individually or collectively, the "Solution"), pursuant to the terms and conditions of an agreement, including Solution Specific terms and conditions governing the use of the Solution (collectively, the "Agreement"); and

WHEREAS, Trustwell operates a traceability and supplier compliance platform and Customer has a relationship with Trustwell for which Customer desires to utilize traceability and supply chain data originating in iTradeNetwork’s platform; and

WHEREAS, Customer wishes to authorize iTradeNetwork to transmit certain Customer Content to Trustwell via API solely to support Customer’s use of Trustwell’s platform.

NOW THEREFORE, Customer agrees as follows:

1. Customer authorizes and directs iTradeNetwork to share the Customer Content described below with Trustwell via API solely for the purpose of supporting Customer’s use of Trustwell’s traceability and compliance platform ("Permitted Purpose"). This authorization covers the following data categories: (a) traceability records; (b) shipment and order data; and (c) supplier information attributable to Customer within iTradeNetwork’s platform.
2. This authorization is limited to the Permitted Purpose only. Trustwell is not authorized to use Customer Content for any other purpose, including to train artificial intelligence or machine learning models, to compete with iTradeNetwork, or to solicit Customer for products or services unrelated to the Permitted Purpose.
3. Customer may revoke this authorization at any time by providing written notice to iTradeNetwork at dealmanagement@itradenetwork.com with copy to legal@itradenetwork.com. Upon receipt of written revocation, iTradeNetwork will cease transmitting Customer Content to Trustwell. Revocation does not affect data already transmitted prior to notice.
4. In no respect shall iTradeNetwork incur any liability for any damages, including but not limited to direct, indirect, special, lost profits, or consequential damages arising out of, resulting from, or in any way connected to the release of Customer Content to Trustwell pursuant to this authorization, whether or not based upon warranty, contract, tort, or otherwise. Customer agrees to indemnify, hold harmless, and defend iTradeNetwork, its officers, employees, affiliates, and subsidiaries against any and all liabilities that may arise as a result of the release of Customer Content to Trustwell pursuant to this Consent Form.
5. General.  
   
   1. The terms of this Consent shall supersede any conflicting terms in the Agreement solely with respect to the data sharing authorized herein. This Consent Form does not modify any other terms of the Agreement.
   2. Capitalized terms used but not defined in this Consent have the meanings ascribed to them in the Agreement.
